Restricted Stock Trading
The Corporate Services desk has the expertise to trade stock under Rules 144, 144(k), 145 and off S-3 registration statements. When a corporate officer, venture fund or investor seeks liquidity in a restricted holding, Needham’s desk can get these trades done smoothly and efficiently by focusing on three distinct issues: full compliance with applicable SEC regulations, the skill of our sales and trading professionals to ensure quality execution and the priority of timely settlement of the trade. A successful result is the end product of keen focus on these factors.

Corporate Stock Repurchase Programs
There are a number of strategies available to issuers seeking to buy back their own shares in the marketplace. Needham’s team, with over 50 years combined experience in all aspects of this business, stands ready to listen, advise and execute for any corporation considering a buyback program. Additionally, we are well versed in tender offers, which can be a preferable avenue in some circumstances.

Employee Stock Option Programs
Needham & Company was one of the first investment banks to manage cashless stock option exercises. Our dedicated team can arrange for options to be simultaneously exercised and shares sold for one or many employees. Needham will coordinate the payment of the exercise cost and applicable taxes with the issuer’s stock administrator.

SEC Rule 10b5-1 Programs
This tool, adopted by the SEC in October 2000, allows issuers and investors alike, to enter into qualified plans to buy and/or sell securities. As long as the investor is not in possession of material non-public information when the plan is set up, instructions can be detailed in a contract outlining specific parameters for the buying and/or selling of securities. These plans have been used in buyback programs to repurchase securities in a given calendar year regardless of earnings, corporate events or blackouts. Additionally, corporate officers seeking asset diversification can sell restricted stock on a regular and planned basis. The utility of 10b5-1 programs is in their flexibility and the myriad of ways they can be designed and implemented.
